First Session

Opening Session

The conference was opened by Walid Othman, Secretary-General of the Conference, who delivered a welcoming address to the participants and attendees from across the Arab world.

In his speech, he highlighted the importance of the conference in light of the rapid developments taking place in the business environment and the growing strategic role of legal departments within organizations. He also emphasized the conference’s objectives in strengthening the role of legal departments and enhancing the capabilities and performance of legal department directors and professionals.

Mr. Othman also provided a brief overview of the key topics and themes to be addressed throughout the conference, as well as the accompanying sessions and specialized workshops, which focus on the practical challenges facing modern legal departments and explore leading practices, professional experiences, and effective approaches to enhancing their role within organizations.

Legal Regulation of the Work of Legal Departments

The session discussed the legal framework governing the work of legal departments, emphasizing the importance of strengthening their role as a strategic driver within the organization. This role should go beyond traditional legal compliance to focus on achieving clear institutional objectives.

To facilitate this transformation, the session highlighted the importance of ensuring the full independence of the legal department and adopting a proactive approach to legal procedures.

The session also explained that achieving a balanced contractual structure enhances the prospects of effective contract performance, thereby contributing to risk reduction and the achievement of desired outcomes.

It further emphasized the need to develop legal policies in line with the organization’s needs and strategies, enabling the legal department to become a true business enabler that supports various business functions in achieving tangible objectives.

Third Session

Governance of Legal Departments

The session highlighted the role of governance in enhancing the effectiveness of legal departments by developing innovative solutions that support the achievement of organizations’ strategic objectives. A legal department managed in accordance with strong governance principles can significantly mitigate the risks facing an organization.

To ensure the success of the legal department, it is essential to foster teamwork in a manner that promotes harmony among employees and minimizes internal conflicts, given the department’s central role in overseeing the work of various entities and functions within the organization.

The session also emphasized the importance of strengthening transparency as a fundamental pillar of institutional governance. It further highlighted technology as a key element in improving governance efficiency within legal departments, stressing the need for its clear and purposeful use to enhance transparency and ensure accurate and effective decision-making

Workshop: “Negotiation Skills and Dispute Avoidance”

The workshop focused on the strategic role of the legal department in ensuring effective negotiation to facilitate the success of contracts and transactions, as well as on developing negotiation strategies that balance the interests of all parties while protecting the organization’s rights.

It emphasized the importance of closely monitoring contract performance to ensure that all parties comply with the agreed terms and to prevent any breaches that could lead to legal disputes.

The workshop also highlighted the importance of applying legal governance to ensure optimal contractual flexibility, noting that legal department professionals are best positioned to understand the organization’s objectives and anticipate the risks it may face.

Fifth Session

Workshop: “The Role of the Legal Department in Dispute Resolution (Negotiation, Mediation, and Arbitration)”

The workshop discussed the role of the legal department in dispute resolution and dispute analysis, emphasizing how to identify risks and assess the potential implications arising from the execution of contracts. It also highlighted the importance of developing proactive risk management strategies before contracts are signed, during the contracting process, and even after a dispute has arisen.
 
The workshop further stressed the need for cooperation between the organization’s dispute resolution and litigation departments to ensure that contracts are properly and accurately drafted and aligned with international requirements.
 
In addition, the workshop emphasized the importance of exercising caution when drafting an amicable settlement clause as a precondition to arbitration. Such a clause should be included within clearly defined limits to avoid imposing excessive procedural restrictions that could render the arbitration clause invalid and undermine its effectiveness.

Sixth Session

Workshop: “Successful Legal Department Strategies

The workshop focused on successful legal department strategies, emphasizing that legal department operations are closely linked to sustainability. A successful legal department is one that acts as a strategic business partner.

 
The workshop stressed that the role of the legal department should not be limited to providing legal opinions, but should also include continuous follow-up and monitoring. Legal department professionals should not operate in isolation from other departments; rather, they should build strong relationships with senior management and other departments, fostering collaboration that contributes to the department’s overall success.

 
The workshop also highlighted the importance of establishing a minimum level of compliance culture, as it is an integral component of successful legal departments. In addition, it emphasized the need for effective document governance and organization to ensure easy access to information, along with risk classification frameworks that enable the legal department to identify the most effective approach to addressing and mitigating risks.

Seventh Session

Workshop: “Skills in Drafting Laws, Regulations, and Policies”

The session discussed the practical and technical aspects of drafting laws, regulations, and policies, emphasizing that not every law graduate is necessarily a legal drafter. Legal drafting is an art, a craft, and a science. Accordingly, the drafter’s role lies in properly applying their legal knowledge and expertise to develop draft legislation that is clear, practical, and capable of effective implementation, as legislation is ultimately a reflection of society.
 
The session also highlighted the pivotal role of the legal department in providing the necessary support and legal opinions to achieve consistency and ensure the effective and precise drafting of legal provisions and sentences, while making appropriate use of supporting tools and resources. It further noted that not every piece of legislation is necessarily suitable for practical implementation.

Eighth Session

The conference concluded with a number of important recommendations reflecting the rapidly evolving role of legal departments and emphasizing the importance of transitioning from the traditional oversight role to a more strategic and effective role in supporting organizations and protecting their interests. The key recommendations were as follows:

  1. Highlighting the role of legal departments in protecting public and private funds through the effective application of laws and the enhancement of procedures that ensure integrity and transparency.
  2. Promoting strategic thinking and a proactive approach within legal departments to address challenges and legal matters efficiently and promptly, while supporting the achievement of institutional objectives.
  3. Investing in the qualification and professional development of legal department members by enhancing their legal, professional, and managerial skills, while providing a supportive work environment that safeguards their independence and impartiality.
  4. Strengthening partnerships between legal departments and various business sectors to reinforce the role of legal counsel as a strategic partner in supporting organizational growth and business development.
  5. Developing comprehensive professional codes of conduct for legal department personnel to ensure adherence to the highest standards of professionalism, integrity, and workplace ethics.
  6. Raising awareness of the legal department’s role in oversight, guidance, and continuous monitoring, ensuring ongoing compliance with applicable laws and regulations and reducing legal risks.
  7. Enhancing document governance within organizations and companies to ensure the effective and secure management of data and information, while improving the efficiency of document storage, record-keeping, and accessibility.
  8. Establishing a culture of compliance and governance across all departments within public and private organizations, strengthening institutional integration and aligning efforts in risk management and compliance.
  9. Ensuring accuracy and clarity when drafting dispute resolution clauses in contracts, thereby reducing the likelihood of disputes and clearly defining effective mechanisms and procedures for their resolution.
  10. Promoting awareness of mediation and negotiation as alternative means of dispute resolution, given their ability to provide faster, more flexible, and cost-effective solutions while preserving business and institutional relationships.
  11. Strengthening the principles of transparency and teamwork within legal departments to foster collaboration among team members, improve performance efficiency, and contribute to achieving the organization’s strategic objectives.
  12. Employing artificial intelligence technologies responsibly and effectively as a supporting tool for achieving strategic objectives and enhancing the efficiency of legal and administrative operations, while taking into account governance requirements and data protection.
